These Terms and Conditions (“Terms”) govern all business transactions, services, and sales conducted by Zaad Industry (“Seller”, “We”, “Us”) with any client, buyer, importer, distributor, or business entity (“Buyer”, “Client”) through our website, email communication, samples, quotations, invoices, or purchase orders.
By placing an order, requesting samples, or engaging our services, the Buyer confirms acceptance of these Terms.
1. Business Nature (B2B Only)
Zaad Industry operates strictly as a Business-to-Business (B2B) manufacturer and exporter. We do not sell to individual consumers. All transactions are commercial in nature.
2. Scope of Services
We provide the following services:
- Embroidered patches (custom & bulk)
- Digitizing services for embroidery
- Apparel manufacturing and export
- OEM / Private label manufacturing
Specifications are finalized only after written approval by the Buyer.
3. Quotations & Pricing
- All quotations are valid for 7–15 days unless stated otherwise.
- Prices are based on provided specifications (design, size, quantity, backing, thread count, fabric, packaging).
- Prices may change if specifications are modified after confirmation.
- All prices are quoted in USD unless otherwise agreed.
4. Orders & Confirmation
- Orders are considered confirmed only after:
- Written approval of samples/specifications, and
- Advance payment (if applicable), or
- Issuance of a confirmed Purchase Order (PO).
- Verbal confirmations are not binding.
5. Samples Policy
- Digital mockups are provided free of charge unless otherwise stated.
- Physical samples may be charged and are non-refundable.
- Sample approval confirms acceptance of quality, color, size, and workmanship.
6. Production & Lead Time
- Standard production time: 10–25 working days depending on order volume and complexity.
- Lead time starts after sample approval and receipt of payment.
- Delays due to force majeure, shipping disruptions, or Buyer-side delays are not our liability.
7. Payment Terms
Accepted payment methods:
- Bank Wire Transfer (TT)
- Other agreed international payment methods
Standard terms:
- 30%–50% advance, balance before shipment (unless agreed otherwise)
- All bank charges are borne by the Buyer
- Goods remain property of Zaad Industry until full payment is received
8. Shipping & Delivery
Shipping terms: EXW / FOB / CIF / DDP as agreed in writing
- Risk transfers to Buyer once goods are handed to carrier
- Delivery timelines are estimates, not guarantees
- Customs duties, taxes, and clearance are Buyer’s responsibility unless agreed otherwise
9. Quality Assurance & Tolerance
- Industry-standard tolerance of ±5–10% in quantity, size, color shade, or embroidery density is acceptable
- Minor variations do not qualify as defects
- Claims must be raised within 7 days of delivery
10. Claims, Returns & Refunds
Claims must include clear photos/videos and written description
- No returns accepted without written authorization
- Refunds or rework (if approved) are limited to the defective portion only
- No refunds for approved samples or design errors provided by Buyer
11. Intellectual Property & Confidentiality
Buyer retains ownership of logos and designs provided
- We reserve the right to display non-confidential work for portfolio/marketing unless restricted in writing
- All designs and business information are treated as confidential
12. Compliance & Export Regulations
Buyer is responsible for ensuring products comply with local import laws
- We comply with Pakistan export regulations
- No liability for goods seized due to Buyer’s regulatory non-compliance.
13. Limitation of Liability
Our liability is limited to the invoice value of the goods supplied
- We are not liable for indirect, consequential, or loss-of-profit damages.
14. Force Majeure
We are not liable for failure or delay caused by events beyond reasonable control including but not limited to natural disasters, war, strikes, pandemics, port congestion, or government actions.
15. Governing Law & Jurisdiction
These Terms are governed by the laws of Islamic Republic of Pakistan.
Any disputes shall be subject to the jurisdiction of courts in Sialkot, Pakistan unless mutually agreed otherwise.
16. Amendments
We reserve the right to amend these Terms at any time. Updated terms will be effective upon publication on our website.
